AGREEMENT TO OUR LEGAL TERMS

We ("Company," "we," "us," "our" or "Eedain Bhat") operate our mobile application, as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and the Company, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.


1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws around the world. The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use or internal business purpose only.

Your use of our Services

Subject to your compliance with these Legal Terms, including the PROHIBITED ACTIVITIES section below, we grant you a non-exclusive, non-transferable, revocable license to access the Services solely for your personal, non-commercial use.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Legal Terms, or if you are a minor, you have obtained parental consent to use the Services and agree to these Legal Terms; (2) you are at least 13 years of age; (3) you will not access the Services through automated or non-human means; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use of the Services will not violate any applicable law or regulation.

4. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
  • Systematically retrieve data or content to compile a database without written permission.
  • Trick, defraud, or mislead us and other users, especially to learn account passwords.
  • Circumvent or disable security-related features of the Services.
  • Bypass, exploit, or reverse-engineer any AI features, including prompt injection attacks.
  • Use the AI tools to generate malware, viruses, or malicious software.
  • Sell or transfer your profile or premium subscription rules.

5. FAIR USE POLICY

To ensure optimal performance for all users and prevent abuse, our "Unlimited" Premium plan is subject to a Fair Use Policy (FUP). "Unlimited" refers to standard, non-commercial human usage. We reserve the right to throttle generation speed, downgrade AI models, or temporarily pause access if an account exhibits extreme usage patterns that exceed typical human behavior, such as automated abuse, botting, or account sharing. We enforce reasonable technical limitations behind the scenes to safeguard our infrastructure and maintain high-quality service for all users.

6. USER GENERATED CONTRIBUTIONS

Your workspace creations remain private to your account interface, though certain data is processed securely by third-party AI providers as detailed in our Privacy Policy.

7. CONTRIBUTION LICENSE

You and the Services agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy. By submitting feedback or suggestions, you agree we can use it without compensation to you.

8. SERVICES MANAGEMENT

We reserve the right to monitor the Services for violations of these Legal Terms and manage the infrastructure in a manner designed to protect our rights and facilitate proper operational performance.

9. TERM AND TERMINATION

These Legal Terms remain in effect while you use the application. WE RESERVE THE RIGHT TO DENY ACCESS TO THE SERVICES (INCLUDING BLOCKING IP ADDRESSES) TO ANY PERSON FOR ANY REASON AT OUR SOLE DISCRETION WITHOUT WARNING.

10. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove content from the Services at any time without notice. We will not be liable for any system downtime, modifications, or subscription price changes.

11. GOVERNING LAW

These Legal Terms shall be governed by and defined following the laws of India. Eedain Bhat and yourself irrevocably consent that the courts of Anantnag, Jammu & Kashmir shall have exclusive jurisdiction to resolve any legal disputes.

12. DISPUTE RESOLUTION

Informal Negotiations

To control costs, the Parties agree to first attempt to negotiate any Dispute informally for at least 30 days before initiating binding arbitration.

Binding Arbitration

Any dispute shall be finally resolved by arbitration in accordance with UNCITRAL rules. The number of arbitrators shall be 1. The legal seat of arbitration shall be Anantnag, Jammu & Kashmir, India. The language used shall be English under the substantive laws of India.

13. CORRECTIONS

There may be information on the Services that contains typographical errors or omissions. We reserve the right to correct any errors and update pricing or descriptions at any time without prior notice.

14. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTIBILITY AND FITNESS FOR PURPOSE. WE ASSUME NO LIABILITY FOR ERRORS OF CONTENT, PERSONAL INJURY, SYSTEM BUGS, VIRUSES, OR TROJAN HORSES TRANSMITTED BY THIRD PARTIES.

15. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR AGENTS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA OR PROFITS. NOTWITHSTANDING ANYTHING CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE TOTAL AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTH WINDOW PRIOR TO THE CLAIM.

16. INDEMNIFICATION

You agree to defend and hold us harmless from any losses, claims, or liabilities arising out of your misuse of the platform, breach of these terms, or violation of third-party intellectual property rights.

17. USER DATA

We maintain routine data configuration backups, but you are solely responsible for data related to your local independent workspace activities.

18. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Using the application, opening support tickets, and processing payments constitute electronic signatures. You consent to receive all operations agreements and notices electronically.

19. MISCELLANEOUS

These Legal Terms operate to the fullest extent permissible by law. If any part is determined unlawful or unenforceable, that part is severable and does not affect the remaining components. There is no partnership or agency relationship created between you and us.
